Despite a whistleblower policy and reporting tool below, employees are encouraged to report incidents or serious matters to their immediate supervisor or human resources. Any person, whether employee of Smardt or not, is invited to report serious matters anonymously or confidentially, using the link below. Smardt will investigate all serious matters of a whistleblowing nature and retain records in accordance with applicable laws.<\/p><p>\u00a0<\/p><p>Whistleblowing matters include violations or suspected violations of applicable laws or corporate global policies or guidelines; questionable accounting or financial practices; experiences or observations of harassment, environmental violations, governance issues, bribery, fraud, corruption, or safety concerns.<\/p><p>\u00a0<\/p><p>Reporting a matter may be done anonymously or confidentially and should be done promptly. Reporting anonymously or through other channels than the link below may limit the ability to thoroughly investigate any serious matter if insufficient information is provided. Once a report is received, the whistleblower will be notified it was received and when to expect a response. This communication will occur in a secure manner through the reporting tool which will also serve as a mechanism for following the progress of any investigation.<\/p><p>\u00a0<\/p><p>Reports must have sufficient information and evidence to assist with a proper investigation, especially if reporting a case anonymously because the case handler will not be able to obtain further information from you. Some details to include in your report are:<\/p><ul><li>Dates<\/li><li>Identity of people and witnesses involved<\/li><li>Detailed description of the act (what was done, what was not done)<\/li><li>How you became involved or aware of the matter<\/li><li>Any step you took regarding the matter<\/li><li>Any materials or documents you have as evidence to support your report.<\/li><\/ul><p>Reporting anonymously and excluding one or more case handlers may limit the ability to investigate the report thoroughly as it may result in a slower investigation. Case handlers have been selected by the executive leadership team and are bound by confidentiality when receiving and investigating any report received via the link or in person. No other person within Smardt, aside from case handlers, has access to the reports and notes in the tool. If a case handler is the subject of a report, do not select them during the report logging. Any case handler not selected will not have access to the report and another case handler or a case handler outside the organization may be assigned in their place.<\/p><p>\u00a0<\/p><p>Investigations will be undertaken promptly if warranted, and all persons, including the person reporting the matter must fully cooperate in the investigation. Each investigation is different; therefore, there is no maximum duration by which a report will be fully investigated. The outcome of any investigation will be subject to disciplinary measures set out in the employee handbook and\/or legal action, as applicable to the person. Reports and the investigation outcome may be reported to outside authorities. All reports, once investigated and the matter closed, will be archived in the tool for one (1) year and subsequently deleted after three (3) years.<\/p><p>\u00a0<\/p><p>Smardt does not permit any form of retaliation against an employee who, in good faith and truthfully, submits a report, provides information, files, or participates in proceedings related to a violation of laws; provides law enforcement with information about the commission or possible commission of an offence (unless the person reporting it is one of the violators); or assists a case handler, audit committee member or management in the investigation of a reported matter. Retaliation to any report, including making anyone feel threatened or victimized for making a complaint or reporting a matter, is prohibited and could result in serious disciplinary action.<\/p><p>Smardt shall uphold the legal obligations of timely responses, record retention, confidentiality, anonymization of personal information and communication as per the laws and regulations governing whistleblowing. Smardt shall comply with reasonable reward provisions for real whistleblowing reports where applicable by law for the matter and not per reporter.<\/p><p>\u00a0<\/p><p>At Smardt, employee case handlers will receive ongoing training to identify whistleblowing matters and improve their investigation skills and third-party resources will be used where the matter warrants.
